1. Acceptance of Terms
By accessing and using the Solar App ("App"), provided by Agile Social Marketing ("Company", "we", "our", "us"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you should not use the App.
2. Changes to the Terms
We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the App following any changes indicates your acceptance of the new Terms. We recommend that you review these Terms periodically.
3. Use of the App
You agree to use the App for lawful purposes only and in a way that does not infringe the rights of others or restrict or inhibit anyone else’s use and enjoyment of the App. Prohibited behavior includes providing false or misleading data, using the App for unauthorized purposes, or attempting to disrupt the App’s functionality.
4. Intellectual Property Rights
All content, features, and functionality of the App, including text, graphics, logos, images, and software, are the property of Agile Social Marketing or its content suppliers and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without the express written permission of Agile Social Marketing.
5. User Data
By submitting data to the App (e.g., addresses, geolocation data, and utility bill information), you grant Agile Social Marketing the right to process this data for the purposes of generating solar potential insights and related outputs. You represent and warrant that all data you provide is accurate and that you have the right to provide such data.
6. Limitation of Liability
To the maximum extent permitted by law, Agile Social Marketing will not be liable for any damages, including, but not limited to, indirect, incidental, punitive, or consequential damages, arising from the use or inability to use the App, even if we have been advised of the possibility of such damages. This includes, but is not limited to, reliance on estimated solar potential, savings, or payback periods provided by the App.
7. Disclaimer of Warranties
The App is provided on an "as is" and "as available" basis. Agile Social Marketing makes no representations or warranties of any kind, express or implied, regarding the operation of the App or the accuracy of the data, estimates, or outputs generated by the App. You expressly agree that your use of the App is at your sole risk.
8. Indemnification
You agree to indemnify, defend, and hold harmless Agile Social Marketing, its officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the App, or your violation of these Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. Any legal action or proceeding related to your access to or use of the App shall be instituted in a state or federal court in Massachusetts, and you consent to the jurisdiction and venue of such courts.
10. Termination
We reserve the right to terminate or suspend your access to the App at any time, without notice, for conduct that we believe violates these Terms, is harmful to other users, the Company, or third parties, or for any other reason in our sole discretion.
11. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agile Social Marketing regarding your use of the App and supersede any prior agreements between you and us relating to such use.
